Terms of Service

Effective Date: November 13, 2025

These Terms of Service ("Agreement" or "Terms") constitute a legally binding contract between you ("User," "you," or "your") and Dwello, Inc. ("Dwello," "Company," "we," "us," or "our") governing your access to and use of the Dwello platform and related services. By accessing, browsing, or using the Dwello platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree to these Terms, you shall not access or use the Platform.

Article I. Definitions

For purposes of this Agreement, the following words or phrases shall have the meanings set forth below:

1.1 "Content" means all information, data, text, photographs, graphics, messages, listings, profiles, or other materials uploaded, posted, transmitted, or otherwise made available through the Platform.

1.2 "Listing" means any posted advertisement for housing, roommate requests, or related accommodation arrangements.

1.3 "Platform" means the Dwello website, mobile applications, and all associated services, features, and functionalities.

1.4 "Service" means the faith-based roommate matching and housing connection services provided through the Platform as described in Article IV below.

1.5 "User Account" means the registered profile and associated credentials created by a User.

1.6 "User" means you or your.

1.7 "Users" means others using the Platform who are subject to this Agreement.

Article II. Acceptance and Modification of Terms

2.1 Acceptance. Your use of the Platform constitutes acceptance of these Terms. You may not use the Platform if you do not accept these Terms. By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2.2 Modifications. Dwello reserves the right to modify these Terms at any time in its sole discretion. Material changes shall be communicated through the Platform or via registered email. Continued use of the Platform following the effective date of any modifications constitutes acceptance of the revised Terms.

2.3 Additional Terms. Certain features of the Platform may be subject to additional terms and conditions. Such additional terms are incorporated herein by reference.

Article III. Eligibility and Account Registration

3.1 Age Requirement. Users must be eighteen (18) years of age or older. By registering for an Account, you represent and warrant that you meet this age requirement.

3.2 Account Creation. Users shall: provide accurate, current, and complete registration information; maintain and promptly update account information; maintain the confidentiality of account credentials; accept full responsibility for all activities occurring under their Account; and immediately notify Dwello of any unauthorized use or security breach.

3.3 Belief Information. During the registration process, you may be asked to provide information about your beliefs and preferences. Providing this information is voluntary but may enhance your ability to find compatible roommates through the Service.

3.4 Profile Information. You are solely responsible for the content you provide in your profile, including any religious information. You agree not to provide false or misleading information about yourself or your religious beliefs.

3.5 Account Restrictions. Users shall not: create multiple accounts; transfer accounts to third parties; share account credentials; or use another User's account without authorization.

3.6 Criminal Background Representation. By using the Platform, you affirmatively represent that: you have not been convicted of any felony; you are not required to register as a sex offender in any jurisdiction; and you have no history of violent crimes or crimes against persons.

3.7 Verification Rights. Dwello reserves the right to conduct background checks, identity verification, or other screening procedures at any time, in compliance with applicable law.

3.8 Account Security. You are responsible for maintaining the security of your account and password. The Company cannot and will not be liable for any loss or damage resulting from your failure to comply with this security obligation.

Article IV. Service Description

4.1 Purpose of the Service. The Service provides a platform for Users to: post and browse rental property listings; create personal profiles that include religious preferences and beliefs; search for potential roommates based on compatibility factors, including religious beliefs; request church membership verification badge from a church leader; and communicate with other Users regarding rental opportunities and roommate arrangements.

4.2 Religious Preference Matching. The Service allows Users to voluntarily disclose their religious beliefs and preferences for the purpose of finding compatible roommates. The Service uses this information to suggest potential matches based on religious compatibility and other factors.

4.3 No Guarantee of Results. While the Service aims to facilitate connections between Users with compatible religious beliefs and preferences, we do not guarantee that you will find suitable rental listings or roommates through the Service. The quality and compatibility of matches depend on various factors, including the availability of other Users with similar preferences in your area.

Article V. Platform Conduct and Restrictions

5.1 Christian Community Standards. The Platform operates as a faith-based community founded on Christian principles and Biblical values. All Users shall conduct themselves in accordance with these values, demonstrating respect, honesty, and courtesy in all interactions.

5.2 Prohibited Content. Users shall not post, upload, transmit, or otherwise make available Content that: (a) is false, misleading, or fraudulent; (b) is unlawful, threatening, harassing, defamatory, or tortious; (c) is obscene, pornographic, profane, or sexually explicit; (d) violates any third party's intellectual property or proprietary rights; (e) contains viruses, malware, or other harmful computer code; (f) advocates discrimination, bigotry, racism, hatred, or violence; (g) violates any applicable law, regulation, or these Terms; (h) impersonates any person or entity; (i) contains personal or identifying information of third parties without consent; (j) constitutes spam, chain letters, or unsolicited commercial communications.

5.3 Prohibited Activities. Users shall not: (a) use the Platform for any unlawful purpose or in violation of any applicable laws; (b) violate or circumvent any security measures or authentication mechanisms; (c) use automated systems, bots, or scrapers without express written permission; (d) interfere with or disrupt the Platform's operation or infrastructure; (e) attempt to gain unauthorized access to any portion of the Platform; (f) reverse engineer, decompile, or disassemble any aspect of the Platform; (g) use the Platform for competitive analysis or commercial research without authorization; (h) engage in any activity that could damage, disable, or impair the Platform; (i) harvest or collect information about Users without consent; (j) use the Platform in any manner inconsistent with its intended purpose.

5.4 Religious Discrimination. While the Service allows Users to express religious preferences for roommate matching purposes, you agree not to use the Service to engage in unlawful discrimination. The Company acknowledges that under certain circumstances, the Fair Housing Act and similar state laws may permit individuals to express preferences based on religion in roommate selection.

5.5 Fair Housing Compliance. All Listings and User conduct must comply with the Fair Housing Act and all applicable federal, state, and local fair housing laws. Discriminatory preferences, limitations, or statements based on protected characteristics are strictly prohibited.

Article VI. User Content and Licensing

6.1 User Responsibility. Users retain ownership of their Content but assume full responsibility for all Content they post, including compliance with applicable laws and third-party rights.

6.2 Content License Grant. By posting Content, you grant Dwello a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Content in connection with the Platform and Dwello's business operations.

6.3 Content Representations. You represent and warrant that: you own or have necessary rights to all Content you post; your Content does not infringe any third-party rights; your Content is accurate and not misleading; and your Content complies with these Terms and all applicable laws.

6.4 Content Monitoring. Dwello reserves the right, but assumes no obligation, to: monitor, review, or edit User Content; remove Content that violates these Terms; suspend or terminate access for Content violations; and preserve and disclose Content as required by law.

Article VII. Fees and Payment Terms

7.1 Free Services. Basic Platform features, including profile creation, browsing, and communication, are provided without charge.

7.2 Premium Services. Optional premium features, including expanded profile access, compatibility tools, background checks, and listing promotions, are subject to applicable fees disclosed at the time of purchase.

7.3 Payment Terms. All fees are due and payable in advance. All purchases are final and non-refundable except as required by law. Users are responsible for all applicable taxes. Payment processing is handled by third-party providers subject to their terms.

7.4 No Guarantee. Purchase of premium services does not guarantee any specific outcome, including successful roommate matches or responses to Listings.

Article VIII. Third-Party Services and Content

8.1 Third-Party Integration. The Platform may contain links to or integrate with third-party websites, services, or content. Such third-party materials are provided solely for convenience.

8.2 No Endorsement. Dwello does not endorse, warrant, or assume responsibility for any third-party services or content.

8.3 Third-Party Terms. Your use of third-party services is governed by such third parties' terms and conditions and privacy policies.

Article IX. Disclaimers and Limitations

9.1 "AS IS" BASIS. THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

9.2 DISCLAIMER OF WARRANTIES. DWELLO DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.3 NO GUARANTEE OF AVAILABILITY. Dwello does not warrant that the Platform will be uninterrupted, error-free, or secure.

9.4 USER INTERACTIONS. Dwello: provides identity verification and other trust signals but cannot guarantee the accuracy of all User-submitted information; may offer optional background checks as a paid service; is not responsible for User conduct or Content accuracy; does not guarantee successful roommate matches or housing arrangements; and is not a party to any agreements between Users.

9.5 ASSUMPTION OF RISK. Users assume all risks associated with User interactions, both online and offline, including but not limited to physical, emotional, and financial risks.

Article X. Limitation of Liability

10.1 EXCLUSION OF DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, DWELLO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.

10.2 LIABILITY CAP. DWELLO'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO DWELLO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) TWENTY-FIVE DOLLARS ($25.00 USD).

10.3 USER CONDUCT. Dwello shall have no liability for any damages arising from User conduct or interactions, whether online or offline.

10.4 ESSENTIAL PURPOSE. These limitations apply even if any remedy fails of its essential purpose.

Article XI. Indemnification

11.1 User Indemnification. You agree to defend, indemnify, and hold harmless Dwello and its officers, directors, employees, and agents from and against all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) your use of the Platform or Services; (b) your Content; (c) your violation of these Terms; (d) your violation of any law or third-party rights; (e) any dispute between you and other Users.

11.2 Defense Control. Dwello reserves the right to assume exclusive defense and control of any matter subject to indemnification, at which point you shall cooperate fully with such defense.

Article XII. Dispute Resolution

12.1 Binding Arbitration. ANY DISPUTE ARISING FROM OR RELATING TO THESE TERMS OR THE PLATFORM SHALL BE RESOLVED THROUGH BINDING ARBITRATION, NOT IN COURT, except as otherwise provided herein.

12.2 Class Action Waiver. YOU AND DWELLO WAIVE ANY RIGHT TO PURSUE DISPUTES ON A CLASS, CONSOLIDATED, OR REPRESENTATIVE BASIS. ARBITRATION SHALL PROCEED SOLELY ON AN INDIVIDUAL BASIS.

12.3 Arbitration Procedure. Arbitration shall be conducted by the American Arbitration Association under its Consumer Arbitration Rules. The arbitrator's decision shall be final and binding.

12.4 Notice Requirement. Prior to initiating arbitration, the claiming party must provide thirty (30) days written notice describing the dispute and desired resolution.

12.5 Exceptions. Either party may seek injunctive relief for intellectual property violations or bring qualifying claims in small claims court.

Article XIII. General Provisions

13.1 Governing Law. This Agreement shall be governed by the laws of the State of Montana, without regard to conflict of law principles.

13.2 Venue. Any permitted court proceedings shall be brought exclusively in the state or federal courts located in Montana.

13.3 Termination. Either party may terminate this Agreement at any time. Dwello may suspend or terminate accounts for violations of these Terms.

13.4 Survival. Provisions regarding intellectual property, indemnification, disclaimers, limitations of liability, and dispute resolution shall survive termination.

13.5 Entire Agreement. These Terms constitute the entire agreement between the parties and supersede all prior agreements.

13.6 Severability. If any provision is deemed invalid, the remaining provisions shall continue in full force and effect.

13.7 No Waiver. Failure to enforce any provision shall not constitute a waiver of future enforcement.

13.8 Assignment. You may not assign these Terms without Dwello's prior written consent. Dwello may assign these Terms without restriction.

13.9 Relationship. Nothing herein creates any partnership, joint venture, employment, or agency relationship.

By using the Dwello platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
